What a merger of the founding GmbH means for reserved shaping rights, universal succession and the continuing foundation structure.

Your matter is handled by a team combining corporate law, asset succession, real estate law and dispute resolution. We review the foundation declaration, board resolutions, information rights and liability issues and set out clear next steps. Mag. Bernhard Brandauer is responsible for the legal advice, supported by further specialised lawyers of the firm where the matter requires it.
A merger of the founding GmbH does not generally transfer reserved shaping rights to the acquiring company. Section 3(3) PSG excludes the transfer of a founder’s rights to shape the private foundation to legal successors. This applies even where company law provides for universal succession.
The corporate merger and the founder status under the PSG answer different questions. Under section 96 GmbHG, the assets of the transferring company pass to the acquiring company by universal succession. That rule alone does not create a personal founder power under the PSG.
The foundation declaration, the exact reservation clause, the merger agreement and the registration date must be read together. Our article on the founder’s death covers the natural-person succession question. Creditor access to founder rights concerns a different form of interference.
In a merger by absorption, the assets of the transferring GmbH are transferred to the acquiring company. Section 96 GmbHG generally applies sections 220 to 233 AktG to the procedure. Once the merger is registered, the statutory effects of universal succession arise and the transferring company ceases to exist.
The succession covers the transferring company’s assets, liabilities and other property-related positions. A reserved power to shape a foundation must be distinguished from those positions. It is a foundation-law right arising from the foundation declaration, not an interest in the private foundation itself.
The acquiring GmbH therefore does not automatically become a founder with the same amendment, revocation or appointment power merely because of the merger. Section 3(3) PSG provides the decisive limit for those rights.
The matrix identifies which consequence comes from the merger and which question still requires a PSG review.
| Review point | Corporate-law consequence | Foundation-law consequence |
|---|---|---|
| Assets and liabilities | Pass to the acquiring company in an effective merger | Does not change ownership of the private foundation |
| Founder status | The transferring GmbH ceases to exist after registration | Section 3(3) PSG excludes transfer of shaping rights |
| Amendment power | Is not created by universal succession alone | Reservation, wording and statutory limits require separate review |
| Appointment or consent power | Does not automatically become an organ office of the acquiring GmbH | The declaration must show whether the power is personal or attached to a continuing body |
Section 3(1) PSG allows legal persons to be founders. Subsection 3 sets a separate boundary for the founder’s shaping rights: those rights do not pass to legal successors. This also answers whether a successor organisation may continue a personal shaping position after a merger.
The rule prevents the acquiring GmbH from deriving an amendment or revocation power from the merger alone. A power to appoint governing-body members or to consent to an amendment must likewise not be treated as transferred without reviewing the foundation declaration.
The exact legal character of the clause remains decisive. A provision may be a personal founder right, a continuing power of a body or an internal allocation of responsibility. Only the first category normally raises the transfer issue examined here; the deed must establish the distinction.
Start with the current foundation declaration and every effective supplementary deed. The wording should show who holds the right, which act is authorised and whether the clause refers to the legal person itself or to a particular office.
Then compare the merger agreement, merger resolutions, register extracts for both companies and the exact registration date. The date determines whether the transferring GmbH could still act itself and when the corporate effects arose.
Also record whether a valid declaration was made before registration. A later reliance on universal succession does not answer whether the act was timely, properly made and issued by the correct legal person.
Establish the reservation, holder and scope in full.
Read the foundation declaration, supplementary deed and later effective amendments in their applicable form.
Put the agreement, resolutions and registration in order.
Assign the agreement, resolutions and registration to the relevant act and date.
Separate a personal founder right from a continuing organ power.
Determine whether the clause creates a personal shaping power or an independent power of a continuing body.
Decide on amendment, revocation or appointment only afterwards.
Issue a declaration only once authority, timing, form and required participation are established.
The exclusion of transfer does not dissolve the private foundation. Foundation assets remain with the foundation, and the foundation board retains its statutory and deed-based duties. The merger of the founder company does not change that by itself.
If the merger leaves no valid person or body to exercise a planned power, the existing arrangement must be applied first. An amendment of the foundation declaration must follow its legal route. Section 33(2) PSG does not give the board a free substitute for a founder right that has become unavailable.
A court-approved adjustment requires evidence of the statutory conditions and the changed circumstances. The purpose of the private foundation must be preserved. The merger is therefore an important trigger for review, not an automatic authorisation for a new shaping decision.
The questions organise registration, documents and the legal character of the reservation.

Place every planned declaration in time and review whether the founding GmbH can still act effectively. Read the merger documents and foundation declaration together.
Obtain the foundation declaration, supplementary deeds, merger agreement, resolutions and current register extracts. Authority cannot be assigned safely without them.
Do not treat the acquiring GmbH as holder of the personal shaping right merely because of universal succession. Review section 3(3) PSG, wording, act and timing together.
Pause the planned declaration until the foundation declaration is interpreted. Establish whether it concerns an organ power, a consent reservation or a personal founder right.
