When a private foundation receives an inheritance under a will, its board needs a documented decision before an inheritance declaration is submitted. The board must review the testamentary title, the assets, the estate liabilities and the consistency with the foundation deed. Only then can it decide whether and in what form the foundation should accept the inheritance.

Under section 799 ABGB, an heir must prove the legal title to the court and expressly declare that the inheritance is accepted. This court declaration is separate from the foundation board’s internal resolution. The board acts for the private foundation and must align its decision with the foundation purpose, the deed and the care expected of a conscientious business manager.

This article addresses acceptance of a testamentary inheritance with possible estate liabilities. General foundation formation, inventory procedures for natural heirs and later payments to beneficiaries are separate questions.

Separate the inheritance declaration from the board resolution

The inheritance declaration is an express statement to the court. Before that statement is made, the foundation board must decide within its own authority whether the private foundation should accept the testamentary inheritance. The resolution provides the basis for action by the persons authorised to represent the foundation, but it does not replace the declaration required by law.

The will, inheritance contract or other legal title must first be secured. The file should then contain an overview of assets and liabilities, known legacies, pending proceedings, deadlines and the steps needed to complete the inheritance. The board must be able to see what will be acquired and which obligations may accompany it.

Section 17(1) PSG requires the board to manage and represent the private foundation and to comply with the foundation deed. The inheritance should therefore not be accepted merely because it appears to increase the foundation’s assets. The board must assess whether the acquisition is permitted by the deed and serves the foundation purpose in the specific situation.

Decision levels

Which review belongs to which step?

The internal decision and the declaration in the estate proceedings depend on each other, but they perform different functions.

Initial classification under section 17 PSG and sections 799 to 802 ABGB. The specific deeds and estate records remain decisive.
Step Key question Evidence
Legal title Will, inheritance contract or statutory succession What inheritance is the private foundation meant to acquire? Testamentary document and estate-proceeding records
Foundation board Internal acceptance decision Does the acquisition serve the foundation purpose and is the resolution properly adopted? Minutes, foundation deed, asset and liability schedule
Court proceedings Inheritance declaration Is the inheritance accepted unconditionally or conditionally? Express declaration and attachments in the estate proceedings

Record estate liabilities in the decision file

Estate liabilities may include the deceased’s debts, legacies, continuing contracts, taxes, litigation risks or administration costs. The file should distinguish fixed amounts, estimates and unresolved risks. A net figure without an understandable calculation is not enough for a responsible decision.

For every material item, the board should state the information on which it relies, the possible amount and whether the item affects the value of the inheritance or its use for the foundation purpose. For real estate, land register records, financing, leases and open maintenance or tax issues may be relevant. For company interests, the articles, financing and continuing obligations should be reviewed.

Unclear estate information requires a response. This may involve further enquiries, a valuation, review of court records or a legal assessment. The board should record how it is dealing with the remaining uncertainty. A risk does not disappear because the minutes do not mention it.

Choose between conditional and unconditional acceptance

Section 800 ABGB permits an unconditional or a conditional inheritance declaration. A conditional declaration is made subject to the preparation of an inventory. The appropriate form depends on the information available, the composition of the estate and the private foundation’s risk profile.

An unconditional declaration has far-reaching consequences under section 801 ABGB. The heir is personally liable to the deceased’s creditors and legatees even where the estate is insufficient to cover those liabilities. The board must include this consequence expressly in its risk assessment.

With a conditional declaration, an inventory is prepared under section 802 ABGB. The heir is liable to creditors and legatees only to the extent that the estate is sufficient for the relevant claims. This is a statutory liability framework, not a general release from the duty to investigate, cooperate and administer the estate carefully.

Connect the foundation purpose with creditor protection

The board must connect the expected acquisition with the foundation purpose and the foundation deed. The resolution should explain which assets will enter the foundation, which management steps will be necessary and whether the inheritance is intended as a long-term holding or a temporary asset position.

Section 17(2) PSG requires each board member to perform their duties economically and with the care of a conscientious business manager. The decision should therefore show administration costs, possible financing needs, continuing obligations and the available liquidity buffer. The private foundation must remain able to meet its own creditors and due obligations.

The purpose requirement does not end with the acceptance resolution. Inventory, estate administration, transfer of title and later management decisions must follow the resolution and the actual facts. A later payment to beneficiaries is a separate review. The article on distribution resolutions and payment records addresses that internal payment level.

Practical sequence

From the will to the inheritance declaration

The sequence keeps the legal title, the foundation decision and the court declaration separate.

  1. 01
    Step 1

    Secure the testamentary title

Collect the will, inheritance contract and estate-proceeding records.

Check whether the private foundation is appointed as heir and which directions limit the acquisition.

    Legal basis: Section 799 ABGB

  2. 02
    Step 2

    Identify assets and liabilities

Organise assets, debts, legacies, contracts and pending proceedings in one file.

Separate fixed figures, estimates and unresolved risks. Record the result of each further enquiry.

Legal basis: Sections 801 and 802 ABGB

  3. 03
    Step 3

    Review purpose and authority

Compare the foundation deed, decision requirements, representation and financial capacity.

The board must be able to explain why acceptance serves the foundation and who will implement the resolution.

    Legal basis: Section 17 PSG

  4. 04
    Step 4

    Justify the acceptance form

Compare conditional and unconditional acceptance against the estate risks.

Record liability consequences, the inventory reservation and the remaining uncertainties.

Legal basis: Sections 800 to 802 ABGB

  5. 05
    Step 5

    Align resolution and declaration

Coordinate the board resolution, authority, court declaration and attachments.

The declaration should be supported by the chosen acceptance form and the documented authority.

Legal basis: Section 17 PSG, section 799 ABGB

Important: A conditional inheritance declaration limits liability within the scope described in section 802 ABGB. It does not replace review of the legal title, estate liabilities and foundation deed. Those points belong in the board resolution before the declaration is made.

Review a legacy separately from an inheritance

A testamentary transfer may also be structured as a legacy. In that case, the private foundation receives a specific legacy claim and does not thereby become heir to the entire estate. The legal title and the exact subject of the transfer must therefore be read closely.

Section 647 ABGB applies, among other things, the rules on capacity to inherit and renunciation of an inheritance correspondingly to legacies. That reference does not answer every question in the individual case. The board must establish whether the foundation is accepting a specific performance, a particular asset or the position of heir.

Reviewing a legacy is separate from a later payment to beneficiaries. A legacy concerns the foundation’s claim under the testamentary instrument. A beneficiary payment concerns an internal foundation decision under the deed, the purpose and creditor protection.

Initial assessment

Is the foundation board’s acceptance decision prepared?

01 Question 1

Is it clear whether the private foundation is appointed as heir or legacy beneficiary?

All paths at a glance

Overview of all answers.

01

The testamentary title must be clarified first.

Organise the will, inheritance contract and estate records. State whether the private foundation is to receive the entire inheritance or only a specific legacy.

02

The estate liabilities are not yet ready for a decision.

Create a schedule of assets, debts, legacies, contracts and pending proceedings. Mark estimates and unresolved risks and obtain the missing records.

03

The purpose review or acceptance form still needs reasons.

Compare the inheritance with the foundation deed, authority, liquidity and liability consequences. Consider conditional and unconditional acceptance before adopting the resolution.

04

The acceptance decision can be prepared.

Record the title, estate schedule, purpose, liability assessment, acceptance form and representation in a traceable board resolution.

Frequently asked questions

Testamentary additions to a private foundation

Can a private foundation accept an inheritance under a will? +
This depends on the legal title, the foundation deed, a properly adopted resolution and the specific inheritance declaration. The board must review and document the acquisition before the declaration is made.
Does conditional acceptance remove all liability? +
No. Section 802 ABGB provides for an inventory and limits liability within the statutory scope of the estate. The legal title, estate liabilities and further administration still require review.
What is the difference between conditional and unconditional acceptance? +
Conditional acceptance is subject to the preparation of an inventory. With an unconditional declaration, section 801 ABGB makes the heir personally liable to the deceased’s creditors and legatees even where the estate is insufficient.
Is a legacy the same as an inheritance? +
No. A legacy creates a specific claim under the testamentary instrument. The private foundation does not thereby become heir to the entire estate. The title and scope of the transfer must be reviewed separately.
May the foundation immediately pay the acquired assets to beneficiaries? +
Acceptance of the inheritance and a later beneficiary payment are separate decisions. Before a payment, the deed, the specific resolution, the foundation purpose and creditor protection must be reviewed.
