If an appointed person refuses office as a private foundation board member, a required organ member may be missing. The foundation must then establish whether its board still complies with the Private Foundations Act and the foundation deed, and who can validly represent it.

Section 15(1) PSG requires at least three board members. Section 27(1) PSG gives the court a separate appointment route where members required by law or the foundation deed are missing. The specific declaration, its receipt and the foundation deed also matter when assessing acceptance or refusal.

This article follows the issue from the first refusal to a replacement appointment. Our guide to the court appointment of a missing board member covers the general vacancy. The article on board representation and signing authority explains the representation question in greater detail.

What a refusal of the appointment means

The appointment of a person and the assumption of office are separate questions. An appointment document alone does not safely establish that the person intends to perform the office where the person has expressly refused it. The wording of the declaration, its receipt by the correct recipient, the sequence of events and the foundation deed must be read together.

The general ABGB rules on legal declarations and the formation of agreements, in particular sections 861 et seq ABGB, provide a framework for assessing the declaration, receipt and interpretation. They do not replace the special rules of the Private Foundations Act. Whether acceptance was express, implied or effective at all should therefore not be inferred from a commercial register entry alone.

In practice, preserve the refusal with its date, sender, recipient and complete wording. A telephone message often leaves open whether the person is finally refusing, needs time to consider the office or is naming conditions for acceptance.

Decision point

Separate acceptance, refusal and an unclear statement

The next measure depends on the established content of the declaration and the actual composition of the board.

The foundation deed and original documents remain decisive.
Finding Legal question Next step
Express refusal Is the person still an available organ member? Establish the composition and prepare replacement appointment
Acceptance declared Which representation rule applies from that point? Compare appointment, specimen signature and register
Statement unclear Is it a final refusal or only a request for clarification? Obtain clarification and secure the time position
Appointment invalid or incomplete What does the foundation deed require? Review the appointment route and court jurisdiction

A commercial register entry does not answer the declaration question on its own. Representation must be assessed separately under section 17 PSG and the foundation deed.

When section 27(1) PSG permits replacement appointment

Section 27(1) PSG addresses the absence of a member required by law or by the foundation deed. If a required board member is missing after an effective refusal, the court may appoint that member on application or on its own initiative. The application should show the vacancy and the specific composition gap in a verifiable way.

The review starts with section 15 PSG. The foundation board must have at least three members, and two members must have their habitual residence in an EU Member State or an EEA contracting state. The statutory exclusions for beneficiaries, certain relatives, legal persons and other situations listed in section 15 PSG must also be checked.

A replacement appointment therefore cannot rest only on the availability of a preferred candidate. The file should contain the foundation deed, supplementary deeds, current commercial register extract, appointment document, refusal and the information needed to check the candidate against the statutory requirements.

How to assess the foundation’s ability to act

Section 17(1) PSG assigns management and representation of the private foundation, as well as responsibility for fulfilling its purpose, to the foundation board. Under section 17(3) PSG, all members are generally authorised to make declarations and sign jointly unless the foundation deed provides otherwise. The concrete authority therefore needs to be checked for each urgent measure.

A missing member does not automatically make every act of the remaining members ineffective. At the same time, general urgency does not create new authority. The foundation deed, registered representation rule, number of remaining members and the specific declaration or signature determine the position.

Payments, deadlines, ongoing contract negotiations, bank mandates and digital access require particular care. Prepare a short list of matters that cannot wait. For each item record the person acting, the basis of authority and the documents needed to support the measure.

The refusal alone does not answer the representation question. Before an urgent declaration or payment, bring together the organ position, foundation deed and specific signing rule. A court application and the protection of ongoing measures can be prepared in parallel.
Process

From refusal to an effective replacement appointment

A dated file prevents the declaration, organ position and representation from being confused.

  1. 01
    Declaration

    Secure the original refusal

    Record wording, receipt and date.

Keep the complete declaration. Mark separately whether the statement is a final refusal, a condition or only a request for information.

Legal basis: Sections 861 et seq ABGB

  2. 02
    Composition

    Compare the minimum composition

    Compare members, deed and register.

Section 15 PSG and the specific foundation deed show whether a required member is missing.
  3. 03
    Representation

    Classify urgent acts

Review signing authority for each deadline.

Apply section 17 PSG and the representation rule to the specific measure. Urgency does not expand authority.
  4. 04
    Candidate

    Check the replacement candidate

    Establish exclusions and residence requirements.

The proposed person must meet the statutory and deed-based requirements. Conflicts and exclusions should be recorded.

    Legal basis: Section 15 PSG

  5. 05
    Court

    File a complete application

    Connect vacancy, candidate and urgency.

Section 27(1) PSG permits the court to appoint missing members on application or on its own initiative.
  6. 06
    Transition

    Update appointment and register

    Document acceptance, signature and authority.

After appointment, organise acceptance, representation and the commercial register documents.

    Legal basis: Section 15(5) PSG

Which documents the court application should contain

A sound application describes the facts in chronological order. It identifies the previous board, appointment document, refusal and the point at which the composition gap arose. A statement that a member is simply “unavailable” usually leaves the decisive issue open.

The file should include the current foundation deed and supplementary deeds, commercial register extract, appointment resolutions, the complete refusal with proof of receipt and a list of ongoing measures. For the proposed replacement, provide the information that makes personal eligibility and the absence of statutory exclusions verifiable.

Urgency should be explained through concrete consequences, such as an approaching deadline, a required contractual declaration or blocked administration. The reasoning should remain tied to verifiable facts and keep court appointment separate from any liability or damages claim.

What must be recorded after replacement appointment

After a court appointment, establish whether the appointed person accepts the office and from when the function is performed. Keep the declaration with its date and receipt. If the person refuses again, section 27(1) PSG must be reviewed again if the refusal leaves a required member missing.

The appointment must be filed with the commercial register without delay. Section 15(5) PSG requires evidence of the appointment or change in publicly certified form and a publicly certified specimen signature. The register filing does not replace the internal handover. Resolutions, mandates, contact details, bank documents and digital access need a traceable transfer.

The handover file should also record open resolutions, deadlines, contracts, audit reports and potential conflicts. Our article on resignation and handover explains the questions that usually need separate review when a board changes. A founder’s death can affect personal founder rights under different rules, as shown in the article on founder death, governing bodies and amendments.

Initial orientation

Does the private foundation need a replacement appointment?

The decision tree orders the declaration, organ position and next documents. It does not replace a review of the foundation deed.

01 Question 1

Has the appointed person expressly accepted the office?

All paths at a glance

Overview of all answers.

01

Clarify the statement first.

Obtain the complete statement with date and receipt. Only then can the organ position be assessed safely.

02

The file is not yet evidence-ready.

Order the communications chronologically and secure the statement. Confirm telephone statements in writing.

03

Review the organ position precisely.

Compare the foundation deed, commercial register and actual acceptance declarations. The register position alone may not answer every question.

04

A court application can be prepared.

Document the composition gap, suitable replacement candidate and statutory requirements under section 27(1) PSG.

05

Appointment and ability to act must be secured in parallel.

Classify each urgent measure under section 17 PSG and prepare the section 27(1) PSG application from the same current file.

Frequently asked questions

Replacement appointment after refusal of board office

Is the appointment effective if the person refuses office? +
The appointment and assumption of office must be assessed separately. An express refusal may leave a required member missing. The wording, receipt, foundation deed and actual organ position must be assessed together.
Who appoints the replacement member? +
Where members required by law or the foundation deed are missing, the court appoints them under section 27(1) PSG on application or on its own initiative.
Can the remaining board members act alone? +
That depends on section 17 PSG, the foundation deed, the registered representation rule and the specific measure. A refusal does not automatically expand signing authority.
Which documents matter for the application? +
The foundation deed and supplementary deeds, commercial register extract, appointment document, refusal with proof of receipt, board composition, candidate information and concrete urgency reasons are important.
