A private foundation may not become the general partner of an Austrian KG with unlimited personal liability or run the management of a trading company. The decisive review concerns the legal position and the actual operation, not the label used in the partnership agreement.
A KG interest therefore has to be split into several questions. Is the foundation to become a personally liable partner, direct the day-to-day business or hold a limited partnership interest and exercise property rights? Each role has a different legal meaning.
This article explains the boundary under section 1(2) PSG for a planned operating KG. The general management of a corporate shareholding is covered in the article on private foundations as corporate shareholders. The overview of foundation board duties of care provides the related standard for a documented decision.
Section 1(2) PSG contains three separate prohibitions. A private foundation may not carry on commercial activity beyond a mere ancillary activity. It may also not take over management of a trading company or be an unlimited-liability partner of a registered partnership.
The last two prohibitions are especially important for an Austrian KG. The general partner position carries unlimited personal liability. The operational direction of the KG also concerns management of a trading company. These legal questions must be examined separately.
The foundation deed may provide for a shareholding in a business. It cannot remove a statutory boundary. A power of attorney, advisory board or intermediary company also does not create a reliable structure if the foundation assumes the prohibited position in practice.
The legal form of the interest and the actual allocation of tasks must match.
| Role | Legal question | Evidence |
|---|---|---|
| General partner Partner with unlimited liability | Has the foundation assumed an excluded personal liability position? | KG agreement, company register and liability clause |
| Limited partner Interest with limited liability in the specific structure | Does the foundation remain within property rights without crossing into operations? | Partnership agreement, contribution and task allocation |
| Managing party Direction of the day-to-day business | Who decides on staff, contracts, customers and daily processes? | Management rules, powers of attorney and practice |
| Partner with control rights Strategic and property-related rights | Are reporting, consent and control separate from day-to-day management? | Resolutions, reporting duties and consent list |
Whether a limited partnership interest is permissible depends on the agreement, the tasks and the actual business operation.
The general partner position means personal unlimited liability. If the foundation is entered in the company register in that role or assumes it under the partnership agreement, the prohibition in section 1(2)(3) PSG must be addressed directly. Calling the foundation a mere asset holder does not change the position.
A limited partnership interest is different. It can give the foundation a property position and specific partner rights. It does not amount to blanket permission for every form of influence. The foundation must define the boundary between a property decision, a consent reservation and day-to-day management.
Powers to select staff, approve individual orders, instruct suppliers or sign contracts for the KG are especially sensitive. They may indicate an operational management role. The agreement must therefore correspond to the organisation in practice.
Section 1(2)(2) PSG addresses taking over the management of a trading company. The review therefore asks who directs the business in daily practice. Relevant examples include decisions on ongoing contracts, staff organisation, acceptance of orders, bank-account control and dealings with business partners.
Strategic control and operational management are different functions. The foundation may request reports, review budgets and consent to important transactions under the agreed rules. Those rights do not by themselves make it the managing party. Permanent case-by-case direction of the operation can shift the boundary.
A formally appointed management body also does not protect the structure if it exists only on paper. If instructions come from the foundation, invoices are approved there or staff are managed directly, the actual operation must be reassessed. The overall picture of agreement, powers and practice controls.
The review file should contain the current foundation deed, the KG agreement, amendments, company register extract, powers of attorney and office appointments. It should also record the rules of procedure, signing rules and actual responsibilities within the business.
The documents should show clearly who represents the KG externally, who concludes ongoing contracts, who decides on staff and which transactions require foundation consent. A consent reservation for extraordinary transactions requires a different review from approval of every individual business step.
The foundation should also record the lawful purpose served by the interest and how its property interests are monitored. Current reports, a reasoned valuation and a clear account of conflicts help the board decide. The related article on foundation board representation and signing authority addresses the representation side.
The sequence makes liability, management and control visible.
Collect the KG agreement, register and proposed partner position.
Read the current KG agreement and amendments and identify the position the private foundation is meant to take.
Separate general partner status from a limited partnership interest.
Allocate unlimited personal liability, contribution and other duties to the proposed form of participation.
Record daily decisions, staff and external representation in concrete terms.
Describe who concludes contracts, accepts orders, controls accounts and organises the daily business.
Separate reporting, consent and strategic reservations from individual instructions.
Define control points for extraordinary transactions and keep daily management with the KG.
Review powers, messages, resolutions and actual work processes regularly.
Reassess material changes to ensure that the operating organisation still follows the agreed allocation of roles.
A limited partnership interest that was initially workable can acquire a different legal weight through new powers, a change of management or a new reporting line. Entry into further companies and a concentration of management functions can also trigger a new review.
Before implementation, the foundation board should assess material changes against the foundation deed and section 1(2) PSG. This includes a move from control rights to case-by-case direction, the assumption of representation powers and every new promise of personal liability.
If doubts arise, agreement and actual practice should be reconstructed separately. The resolution should state the intended role, the tasks remaining with the KG and the points at which the structure must be reviewed again. That keeps the interest understandable and controllable for the foundation.
The questions separate liability, operational management and permissible control.
